**** Important message from CHAOS Brew Club (Description of "Director" and "Officer") ****

By now you should have received an e-mail regarding our new structure, namely incorporation as a 501c(3). Ning, however, has some limitations and the attached file with a description of "Director" and "Officer" did not go through. Find below the information contained in the attachment.

 

PLEASE NOTE:

The below information will be useful when deciding on your nominee(s) for the initial board of directors (and subsequently officers). Keep in mind that someone may indeed fill any number of positions (e.g., Director; Officer; Alchemist; Director and Alchemist; Director and Officer;  Officer and Alchemist; Director, Officer, and Alchemist). Therefore you may nominate ANYONE (even yourself) for ANY/ALL positions. Any paying member of CHAOS is eligible for nomination.

 

Board of Directors – The “Think-ers”

 

There is nothing in the bylaws which prevent a director from voluntarily contributing monetarily to the club but above and beyond money the board of directors is comprised of people who are devoted to the club emotionally, physically, mentally, intellectually, and socially; what they really offer is ideas, encouragement, making connections for the club as well as within the club, giving the club direction, community building initiatives (e.g., identifying and fostering future committed and active members), and enthusiastically and energetically promoting the club’s mission (which is, first and foremost, education and community involving home and craft brew).

 

Responsibilities include (but are not limited to):

  • Must be present at a minimum of 9 (out of 12) monthly board meetings (attendance may be via telephone, i.e., someone who is present putting you on speaker phone);
  • Must contribute time and energy continually and substantially to the benefit of the club. This may include but is certainly not limited to: being present at club events (classes, festivals, &c.); organizing and arranging the brew house; participating in online and in-person discussions.
  • Discussing – and subsequently approving/denying – requests and proposals from Officers;
  • Making contacts and reaching out to people on behalf of the club (including potential and current partners);

 

The main difference, however, between the way the club “leadership” currently runs and the way it will run under 501c3 is that directors can, should, and will be subject to removal “with or without cause” (according to the bylaws) by simple majority vote of the other board of directors. Basically what that means is that Directors must indeed continually and substantially devote time and energy to the club lest other directors deem you are not “pulling your weight” and vote you off the island.

 

 

Executive Officers – The “Do-ers”

 

President In charge of the business of the club (subject only to the board of directors). This position sees to it that the Board’s decisions are carried out. Definitely a leader; definitely good at management. Be present at all board meetings. This is the person who can enter into contracts and agreements with other organizations as outlined by the Board. Currently filled by Evan Smith.

 

Vice President Assists the president in carrying out his or her duties at the president’s discretion and will carry out other duties as the president or Board of Directors instructs. Takes over as president (and has all the responsibilities and powers of president) in the president’s absence. Vice president may also enter into contracts, &c. with other organizations. Currently filled by James Lewis.

 

Treasurer Main person in charge of accounting and finance. This person must maintain the books; takes care of all funds (coming in and going out); gives a financial report at each meeting and prepares a year-end fiscal report; receives and deposits any money coming to the club into the established club account; other temporary duties as assigned by the president or Board of Directors. Currently filled by Jim Chochola.

 

Secretary Record the mintes of the meetings of the Board of Directors (which is satisfied merely by letting an mp3 recorder run at the meetings) as well as other meetings where voting occurs; send out all notices (e.g., of meetings); keep the corporate records (e.g., bylaws); other temporary duties as assigned by the president or Board of Directors; in charge of timely changing the registered agent with the Secretary of State and for timely filing the corporation’s annual report with the IRS. Currently filled by Mark Walters.

 

Membership Maintains records and data of members (including but not limited to membership levels and the start/end dates for members’ annual membership); sending welcome letters to new members as well as renewal notices to current members; although this person may not enter into agreements, contracts, &c. one duty of the Membership Officer will be outreach, contacting new members and new partnering organizations. Currently filled by Dan Petrosko.

Im gonna bump this message.  If you have a registered CHAOS email you should have received a letter that I sent out a few weeks ago.  This thread that Jim posted is a good summary of all the potions.  Please take a re-read and nominate yourself or someone you think would be a good candidate for the board of directors.  We will be close the nomination period on Wednesday the 22nd of August.

If anyone is interisted in my

If anyone is interisted in my position pls feel free to nominate yourself.  I have alot going on with a baby coming and trying to work as much overtime as possible.  I will be able to fufill the admisitrative portion of my position, but it would be nice to see somebody being more agressive in recruiting new partners.  (besides jim and evan who are doing a great job).  If your thinking of getting on the board, this is a great place to start.  I will not be butt hurt.....and if nobody signs up ...ill keep doing what im doing....

I second Lager Dan's post. I

I second Lager Dan's post. I'm doing an adequate job at treasurer, I like learning new skills (i.e., accounting and tax documents) and I'll stay on if need be. But, it would be much better if someone with accounting (and esp. tax return) knowledge and experience were doing this job. Would make things a whole lot easier, I feel.
